These Terms of Service ("Terms") form a binding legal agreement between you, either as an individual or on behalf of an entity you represent ("you" or "your"), and Attainable Edge, LLC, operating under the name "StratSimple" (referred to as "StratSimple", "we", "us", or "our"). These Terms govern your access to and use of:

* Any StratSimple web or mobile applications
* All related services, features, content, and functionality offered by StratSimple

IF YOU DO NOT AGREE WITH ALL OF THESE TERMS OF USE, THEN YOU ARE EXPRESSLY PROHIBITED FROM USING THE ABOVE SERVICES AND YOU MUST DISCONTINUE USE IMMEDIATELY.

1) Legal Authority: We (StratSimple) confirm that we have the legal right to offer you this service and enter into this agreement with you.

2) Quality of Service: We promise to provide our software and services in line with general industry standards. This means we'll do our best to ensure that our software works as described in our online help documentation under normal use.

Your Commitments to Us:

1) Legal Authority: If you're agreeing to these terms on behalf of yourself or an organization, you confirm that you have the legal authority to do so.

2) Honest Information: You promise that you haven't provided any false information about yourself or your organization when signing up for our service.

3) Accurate Billing: You confirm that any billing information you've provided to us is correct and up-to-date.

Our Commitment to Service Quality
StratSimple is committed to providing our services to the best of our ability. However, it's important to understand that we can't guarantee specific results from using our services. While we strive for excellence, there are certain things we can't promise about our service:

1) Perfect Performance: We can't guarantee that our service will always be error-free, uninterrupted, or completely secure.
2) Meeting All Expectations: Our service may not meet all of your specific requirements or expectations.
3) Data Accuracy: While we take care with data, we can't guarantee that all stored data will always be 100% accurate or reliable.
4) Satisfaction with Purchases: We can't guarantee that you'll be satisfied with every product, service, or information you obtain through our service.
5) Custom Features: We don't promise to modify our existing features to meet individual requests or needs.
6) Freedom from Harmful Components: While we follow industry standard security measures, we can't guarantee that our service or servers will always be free from viruses or other potentially harmful components.

a) Sharing copyrighted material without permission
b) Engaging in fraudulent activities
c) Violating any local, state, national, or international laws
2) Do not disrespect others: Don't harass, bully, or discriminate against other users or our team members.
3) Don't harm the service: Don't try to break, hack, or interfere with our service. This includes:
a) Attempting to access areas of our service you're not supposed to
b) Trying to override any security features
c) Introducing malware, viruses, or other harmful code
d) Systematically retrieve data or other content from our site or service without written permission from us.
e) Don't share your credentials or password with anyone else
4) Don't be dishonest: Don't impersonate other people or organizations, including our team members.
5) Don't overload our system: Don't do anything that could overload or disrupt our service, like sending spam or using automated systems to access our services.

What Happens If You Break These Rules
If you don't follow these rules, we may need to take action. This could include:

3) Permanently terminating your account

Intellectual Property Rights
It's important to understand who owns what when you're using StratSimple. This section explains the rights related to the content on our platform.

Our Intellectual Property:

1) StratSimple's Ownership: Everything you see on StratSimple that we've created - like our logo, design, text, graphics, and how the application works - belongs to us. This is protected by copyright, trademark, and other laws.
2) License to Use Our Service: We give you permission (a "license") to use StratSimple for its intended purpose. This license is:
a) Personal to you
b) Non-exclusive (meaning we can give the same license to others)
c) Non-transferable (you can't give it to someone else)
d) Revocable (we can take it away if you violate these terms)
3) Restrictions: You can't copy, modify, distribute, sell, or lease any part of our service without our written permission.

Your Content:

1) Your Ownership: Any content you create and upload to StratSimple (like your strategic plans, data, or reports) remains yours. We don't claim ownership over your content.

2) License to StratSimple:
By uploading content to our service, you give us permission to:

a) Store, display, and use your content as necessary to provide and improve our service.

b) Use your content in an anonymized and aggregated form to train our artificial intelligence models and improve our services.This permission ends when you delete your content or account, except for the anonymized and aggregated data we've already used for training.

3) What We Mean by Anonymized and Aggregated:
Anonymized means we remove all personal information that could identify you or your organization. Aggregated means we combine your data with other users' data so that individual contributions can't be singled out.

Responsibility for Your Content: You're responsible for making sure you have the right to share any content you upload to StratSimple.

In Simple Terms
We own StratSimple and its design. You own the content you create. You give us permission to host and use your content to provide our service, and we give you permission to use our service as intended.

Limitation of Liability
We work hard to provide a great service, but there are some things we can't be responsible for:

1) Direct Damages: If something goes wrong and it's our fault, our liability is limited to the amount you've paid us in the last 12 months.

2) Indirect Damages: We're not responsible for any indirect damages. This includes things like lost profits, lost data, or business interruption.

3) Force Majeure: We're not liable if we can't provide the service due to events beyond our control, like natural disasters or internet outages.

4) User Content: We're not responsible for any damages resulting from your content or how you use our service.

2) Your violation of these terms
3) Your violation of someone else's rights

We'll only ask for your help in situations directly related to your use of StratSimple. We won't ask you to cover issues caused by our own actions or negligence.We reserve the right to handle our own defense at your expense if we choose.

In Simple Terms: If your use of StratSimple gets us in trouble, you agree to protect us legally and financially.

Changes to Terms
We may need to update these terms from time to time. Here's how that works:
1) Notice: We'll post any changes on this page and update the "Last Updated" date at the top.
2) Major Changes: For significant changes, we'll try to provide at least 30 days' notice. We might do this through a pop-up notice or an email to the address you've given us.
3) Continued Use: If you keep using StratSimple after the changes take effect, it means you accept the new terms.
4) Your Choice: If you don't agree with the new terms, you should stop using StratSimple. Remember, you can always reach out to us if you have concerns.

In Simple Terms: We might change these terms sometimes. We'll let you know when we do. If you keep using StratSimple after the changes, it means you're okay with them.

Severability
If any part of these Terms of Service is found to be unenforceable or invalid, here's what happens:
1) Partial Validity: The unenforceable or invalid part will be enforced to the maximum extent permissible by law.
2) Remaining Terms: All other parts of these Terms will remain in full effect.
3) Core Agreement: If any unenforceable or invalid part is essential to these Terms, both you and StratSimple agree to promptly negotiate a replacement for that part. This replacement should achieve the same effect as the original part, as far as possible under the law.
4) No Impact on Other Terms: The unenforceability or invalidity of any part of these Terms won't affect the enforceability or validity of any other part.
5) Spirit of the Agreement: If any part is found unenforceable or invalid, we'll interpret these Terms in a way that best reflects the intent of the original Terms as a whole.

In Simple Terms: If one part of these Terms can't be legally enforced, the rest of the Terms still apply. We'll work to replace any unenforceable parts in a way that keeps the original intention of our agreement.

Privacy and Data Protection
We care about your privacy and the security of your data. To understand how we collect, use, and protect your personal information, please read our Privacy Policy. Our Privacy Policy is part of these Terms of Service. By using StratSimple, you agree to our data practices as described in the Privacy Policy.

In Simple Terms: We have a separate Privacy Policy that explains how we handle your data. It's important, so please read it. It's considered part of this agreement.

Dispute Resolution
We hope we never have a serious disagreement, but if we do, here's how we'll handle it:

1) Talk It Out First: If you have a problem, please contact us at [insert contact email] before taking any legal action. Most issues can be resolved quickly through open communication.
2) Informal Negotiation: We agree to try to resolve any disputes through good-faith negotiations for at least 30 days after one party notifies the other of a problem.
3) Arbitration: If we can't resolve the issue through negotiation, either of us can initiate binding arbitration. This means:We'll use a neutral arbitrator instead of going to court.The arbitration will be conducted by the American Arbitration Association (AAA) under their Consumer Arbitration Rules.The arbitration can be done remotely (like by phone or video call) unless we both agree to meet in person.The arbitrator's decision will be final, except for limited appeal rights under federal law.
4) Class Action Waiver: You agree to only bring claims against StratSimple in your individual capacity, not as part of a class action or other representative proceeding.
5) Exception for Small Claims Court: You can still bring individual claims in small claims court if they qualify.
6) Governing Law: These Terms are governed by the laws of Pennsylvania, without regard to its conflict of law principles.
7) Time Limit: Any claim arising out of these Terms must be filed within one year after it arose, or it will be permanently barred.
8) Changes to This Section: If we make any future changes to this dispute resolution section, they won't apply to any claim that was filed in a legal proceeding against StratSimple prior to the change.

In Simple Terms: If we have a serious disagreement, we'll first try to work it out by talking. If that doesn't work, we'll use arbitration instead of going to court, unless it's a small claim. You can only bring claims as an individual, not as part of a class action. There's a one-year time limit for bringing claims.
